Early Access & Platform Terms of Use Agreement

Effective Date: April 2026

This Terms of Use Agreement ("Agreement") is entered into between you ("User," "you," or "your") and Arileus Intelligence Systems, LLC, a Florida limited liability company ("NeuroTrader," "we," "us," or "our").

By entering your information, creating an account, checking the required acceptance box, or otherwise accessing or using the NeuroTrader platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with the Terms of Service, Privacy Policy, and Risk Disclosure, which are incorporated by reference.

If you do not agree, do not use the Platform.

1. Eligibility

You represent that you are at least eighteen (18) years of age, legally capable of entering into binding agreements, and not restricted from using the Platform under applicable law. You are responsible for ensuring that your use of the Platform complies with all laws applicable to you.

NeuroTrader reserves the right to deny, restrict, or revoke access at its sole discretion.

2. Request for Access

Submission of your information constitutes a request for access only.

NeuroTrader does not guarantee access and may:

  • delay, queue, or deny activation
  • grant access in controlled batches
  • suspend or revoke access at any time

3. Platform Status

The Platform is provided in an early-access, pre-release state.

Initial functionality may include:

  • paper trading
  • simulated environments
  • limited features or assets

4. Non-Custodial Structure

NeuroTrader does not take custody of funds.

  • All assets remain in your exchange account
  • You connect accounts via API keys
  • You retain full control over your funds

5. Simulated and Hypothetical Results

Any paper trading or simulated results are hypothetical and not actual trading.

Such results:

  • do not reflect real market conditions
  • may not account for fees, slippage, or liquidity
  • are not indicative of future results

6. No Investment Advice

The Platform does not provide investment advice, financial advice, or trading recommendations.

NeuroTrader is not acting as:

  • an investment adviser
  • a broker-dealer
  • a commodity trading advisor
  • a fiduciary

7. No Offer or Solicitation

The Platform is not an offer to buy or sell any financial instrument and is not a solicitation of any trading or investment strategy.

8. User Responsibility and Risk

Trading involves significant risk, including the risk of total loss.

You agree:

  • all decisions are your own
  • you assume all risk
  • you will not rely solely on the Platform

9. Fees and Market Conditions

Trading outcomes are affected by:

  • transaction fees
  • spreads
  • slippage
  • liquidity
  • volatility

10. No Reliance

All information provided by the Platform is for informational purposes only. You agree not to rely on it as the sole basis for any financial decision.

11. No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

NeuroTrader makes no warranties regarding:

  • accuracy
  • reliability
  • availability
  • performance

12. Third-Party Services

The Platform relies on third-party providers, including exchanges and data sources.

NeuroTrader is not responsible for failures, delays, or inaccuracies from such services.

13. International Use

You may access the Platform from outside the United States, but you are responsible for complying with all local laws.

NeuroTrader makes no representation that the Platform is appropriate or legal in all jurisdictions.

14. Communications Consent

You consent to receive communications from NeuroTrader, including account updates, onboarding messages, and system notifications.

15. Messaging Consent

By providing a Telegram username or WhatsApp number, you consent to receive messages from NeuroTrader on the channel(s) you supplied. Where a phone number is on file from a legacy intake, you also consent to receive SMS messages from NeuroTrader.

  • Message frequency may vary
  • Standard carrier / data rates may apply for SMS or WhatsApp
  • Reply STOP (SMS), block the bot (Telegram), or block the contact (WhatsApp) to opt out

16. Electronic Consent

You agree to receive all agreements, disclosures, and communications electronically.

17. Privacy

Your use of the Platform is subject to the Privacy Policy. NeuroTrader may collect and use data for operational and analytical purposes.

18. Prohibited Use

You agree not to:

  • misuse the Platform
  • reverse engineer or interfere with it
  • use it for unlawful purposes

19. Intellectual Property

All Platform content and systems are owned by NeuroTrader. No rights are granted except as explicitly stated.

20. Feedback

Any feedback you provide may be used by NeuroTrader without restriction.

21. Limitation of Liability

To the maximum extent permitted by law, NeuroTrader is not liable for any financial losses, trading losses, lost profits, or indirect damages.

Your sole remedy is to stop using the Platform.

22. Indemnification

You agree to indemnify and hold harmless NeuroTrader from any claims arising from your use of the Platform.

23. Termination

NeuroTrader may suspend or terminate access at any time, for any reason.

24. Modifications

NeuroTrader may update this Agreement at any time. Continued use constitutes acceptance of changes.

25. Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved in Palm Beach County, Florida.

26. Dispute Resolution

All disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action.

27. Entire Agreement

This Agreement, together with the referenced Policies, constitutes the entire agreement between you and NeuroTrader.

Acknowledgment

By submitting your information and checking the acceptance box, you acknowledge that:

  • you have read and understood this Agreement
  • you accept all risks associated with use of the Platform
  • you agree to be bound by its terms
